TERMS OF SERVICE

 

The following terms govern how Customers use the Minsoft Software, a tool that supports online business and marketing activities. Customers should read and understand these terms when using the software. Minsoft publishes these terms to ensure proper use, compliance with Vietnamese law, and protection of Customers' rights.

 

1. Terms of Use

Minsoft Software is a tool that supports online business and marketing, helping Customers manage clients, optimize costs, and improve work efficiency. We aim to bring value to the community and contribute to the country’s “digital transformation.” The software is developed in compliance with Vietnamese law, including:

- Cybersecurity Law 2018 (No. 24/2018/QH14, effective from January 1, 2019).
- Civil Code 2005 (No. 33/2005/QH11, effective from January 1, 2006).
- Decree 72/2013/ND-CP on management, provision, and use of Internet services (effective from September 1, 2013).
- Decree 13/2023/ND-CP on Personal Data Protection (effective from July 1, 2023).
- Law on Protection of Consumer Rights 2023 (No. 19/2023/QH15, effective from July 1, 2024).

Customers are allowed to:
- Use Minsoft Software for lawful business purposes such as customer acquisition, advertising campaigns, customer care, or marketing to optimize costs and efficiency.
- Receive technical support from the Minsoft team when using the software properly.

Customers are STRICTLY PROHIBITED from using Minsoft Software to:

- Oppose the Socialist Republic of Vietnam, harm national security, or disrupt social order.
- Promote war, terrorism, violence, obscene content, superstition, or misinformation.
- Conduct cyberattacks, violate privacy, or distribute fake information.
- Defame or damage the reputation of individuals or organizations.
- Advertise or trade goods/services prohibited by law.
- Commit fraud, assist fraud, or engage in any activities violating Vietnamese law.

Customers must not:
- Copy, modify, reverse engineer, or use Minsoft Software to create competing products.
- Overload or damage Minsoft’s server systems.

Customer responsibilities:
- Customers are fully responsible before the law for any violations of the above terms.
- Minsoft is not legally responsible if Customers misuse the software or violate the law.

 

2. Data Privacy

We collect Customers’ personal information, including full name, email, phone number, and organization details, to:

- Manage accounts and grant access to Minsoft Software.
- Provide support, send updates, renewal notices, or promotional information.
- Resolve disputes or complaints related to software usage.

Security commitment:

- Customer information is securely stored throughout Minsoft’s operation, in compliance with Decree 13/2023/ND-CP on Personal Data Protection.
- Personal data is stored for up to 5 years after service termination unless otherwise required by law. After this period, data will be permanently deleted or anonymized.
- We apply the best security measures to protect data from unauthorized access or disclosure.

We do not share, sell, or rent Customer information to third parties unless:

- The Customer gives explicit consent.
- Required by competent authorities under the law.
- Necessary to protect the rights, property, or safety of Minsoft or others.

Customers have the right to request access, modification, or deletion of their personal data in accordance with the law.

Customer responsibilities:

- Keep account information (username, password) secure and notify us immediately if unauthorized access is detected.

 

3. Third-Party Resources

Minsoft does not provide, exchange, or distribute any third-party resources such as social media accounts (Facebook, Zalo, etc.), advertising services, or external tools through any official or unofficial channels.

Customers are responsible for preparing, managing, and ensuring the legality of third-party resources used with Minsoft Software.

Minsoft is not responsible for any issues related to third-party resources, including:

- Account suspension, data loss, or policy violations of third-party platforms.
- Issues arising from usage, exchange, or purchase of such resources.

We only provide and take responsibility for Minsoft Software, not third-party resources.

 

4. Software Ownership

Minsoft Software, including source code, design, content, and related components, is the property of Minsoft, protected under the Law on Information Technology 2006 and international intellectual property regulations.

Customers are granted the right to use Minsoft Software for internal business purposes only. This right is non-transferable and cannot be sold or shared.

Customers must not copy, modify, reverse engineer, or use the software beyond permitted scope.

Customers confirm they are at least 18 years old or have legal guardian consent to use Minsoft Software.

 

5. Performance and Limitation of Liability

Minsoft Software is provided “as is” and is continuously updated. It may not be perfect, may not operate continuously, or may not be compatible with all devices or systems.

The software may be temporarily suspended for maintenance, updates, or unforeseen technical issues.

Errors from third-party platforms (e.g., social media, advertising services, APIs) are beyond Minsoft’s control. Resolution may take time and Minsoft is not responsible for repair timelines or outcomes.

Disclaimer:

- Minsoft is not liable for any damages, including loss of data, profit, or business opportunities arising from the use or inability to use the software, unless required by law.
- To the maximum extent permitted by law, Minsoft’s liability is limited to the amount paid by the Customer within the 12 months prior to the issue.
- Under the Law on Protection of Consumer Rights 2023, we commit to providing accurate information and handling complaints promptly, but are not responsible for damages caused by Customers or third parties.

 

6. Warranty and Support

Minsoft Software is an online product and does not require manual warranty or maintenance. The system updates automatically without affecting Customer operations.

7-day warranty policy:

- Within 7 days from purchase or activation, if the software does not function as described, Customers may request a refund or receive support for issue resolution.

Conditions:
- The software must be used according to the “User Guide” on the website https://minsoft.io/
- Customers must provide error descriptions and evidence (if any).
- The policy does not apply if issues are caused by Customer errors such as incorrect setup, misuse, or code interference.

 

7. Termination

Minsoft may suspend or terminate Customer access if:

- The Customer violates any terms.
- We decide to discontinue the software, with or without prior notice.

If Customers cause damages to Minsoft (e.g., legal costs), they must compensate accordingly.

 

8. Changes to Terms

Minsoft reserves the right to modify these terms at any time to comply with law or improve services.

Changes will be notified via email or the website https://minsoft.io/. Customers should regularly check for updates.

 

9. Governing Law and Dispute Resolution

These terms are governed by Vietnamese law, including the Law on Information Technology 2006, Cybersecurity Law 2018, Decree 13/2023/ND-CP, and Law on Protection of Consumer Rights 2023.

Any disputes will be resolved at competent courts in Vietnam.
